These Terms of Service ("Terms") govern your use of ProofLogic services, including our website at prooflogic.co and the interactive calculator tools we build and host for your business ("the Service"). By using our Service, you agree to these Terms.
ProofLogic provides custom-branded interactive sales calculator tools for businesses. Our Service includes the design, development, hosting, and ongoing maintenance of these tools. Each calculator is built to your specifications, branded with your company identity, and hosted on our infrastructure.
The Service is licensed, not sold. You receive access to use the calculator tools for the duration of your active subscription. You do not own the underlying code, design, or technology.
Our standard subscription is billed monthly at the rate agreed upon at the time of signup. A one-time setup and customization fee is charged at the beginning of service.
During your active subscription, we grant you a non-exclusive, non-transferable license to:

You retain ownership of your company logo, brand assets, and any business data you provide to us for customization. You grant us a license to use these materials solely for the purpose of building and maintaining your calculator.
Customer data entered into the calculator's quote form by your sales reps is processed in the browser and, if you have the CRM webhook add-on, transmitted to your designated CRM system. We do not store or access end-customer data entered into your calculator.
We make reasonable efforts to keep utility rates, incentive programs, solar production data, and equipment specifications current and accurate. However, we do not guarantee the accuracy of any data in the calculator. The calculator provides estimates only and should not be relied upon as financial advice.
Rate and incentive updates are included in your subscription and are applied as changes are published by the relevant authorities.
All intellectual property rights in the ProofLogic platform, including the calculator framework, code, design patterns, algorithms, and user interface, remain the exclusive property of ProofLogic. Your subscription grants you a license to use a customized instance of our platform, not ownership of any intellectual property.
Your company name, logo, and brand assets remain your property. We will remove all your branding from our systems upon termination of service.
To the maximum extent permitted by law, ProofLogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost sales, or business interruption.
Our total liability for any claim arising from the Service shall not exceed the total amount you paid to ProofLogic in the twelve months preceding the claim.
The calculator provides estimates for informational purposes only. ProofLogic is not a financial advisor, solar installer, or energy consultant. We do not guarantee any specific savings, return on investment, or financial outcome.
You agree to indemnify and hold harmless ProofLogic from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or any claims by your customers related to estimates or projections generated by the calculator.
We strive to maintain 99.9% uptime for hosted calculators. However, we do not guarantee uninterrupted access and are not liable for downtime caused by Cloudflare infrastructure issues, scheduled maintenance, or circumstances beyond our control.
We may update, modify, or improve the calculator platform from time to time. We will make reasonable efforts to notify you of significant changes that affect your customized calculator. Feature updates and improvements are included in your subscription at no additional cost.
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts located in Ottawa, Ontario.
We may update these Terms from time to time. Material changes will be communicated via email to active subscribers. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
